Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PermitNetworks authorization platform and related services. Please read them carefully before using our Services.

1. Acceptance of Terms

By accessing or using the PermitNetworks platform, APIs, SDKs, dashboard, or website (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services. We reserve the right to update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the revised Terms.

2. Service Description

PermitNetworks provides an authorization infrastructure platform that enables you to define, enforce, and audit access control policies for AI agents. The Services include an Authorization Gateway, Decision Engine, policy management tools, SDKs, APIs, and a web-based dashboard.

The Services evaluate authorization requests submitted by your applications and return allow or deny decisions based on policies you configure. PermitNetworks does not control or direct the behavior of your AI agents beyond enforcing the authorization policies you define.

3. Account Terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials, API keys, and access tokens.

You are responsible for all activity that occurs under your account, including actions taken by team members or automated systems using your API keys. You must notify us immediately at security@permitnetworks.com if you become aware of any unauthorized access.

You must be at least 18 years old and have the legal capacity to enter into these Terms. Accounts registered by automated methods are not permitted without prior written approval.

4. API Usage & Rate Limits

Your use of the PermitNetworks APIs is subject to the rate limits and usage quotas associated with your subscription plan. Current limits are published in our documentation and may be updated from time to time.

You must not attempt to circumvent rate limits, reverse engineer the decision engine, or use the APIs in a manner that degrades service quality for other users. Automated retries must implement exponential backoff.

API keys are issued per-environment and must not be shared across organizations or embedded in client-side code. You are responsible for rotating keys according to your organization's security policies.

5. Acceptable Use

You agree not to use the Services to: (a) violate any applicable law or regulation; (b) authorize AI agents to perform actions that would be illegal or harmful; (c) interfere with or disrupt the integrity or performance of the Services; (d) attempt to gain unauthorized access to any systems or networks connected to the Services.

You must not use the Services to process authorization decisions related to access control for critical physical infrastructure (nuclear facilities, weapons systems, life support) without a separate Enterprise agreement that includes appropriate safety provisions.

We reserve the right to suspend or terminate access to the Services if we reasonably determine that your use violates these Terms or poses a risk to the platform or other users.

6. Intellectual Property

PermitNetworks retains all rights, title, and interest in the Services, including all software, algorithms, documentation, trademarks, and other intellectual property. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

You retain all rights to your policy configurations, decision logs, and application code. You grant us a limited license to process this data solely for the purpose of providing the Services.

Our open-source SDKs are licensed under the Apache License 2.0. Your use of the SDKs is governed by the applicable open-source license in addition to these Terms.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERMITNETWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PERMITNETWORKS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You acknowledge that AI agent behavior is ultimately determined by your application logic and that PermitNetworks provides authorization enforcement as a service. PermitNetworks is not liable for damages caused by AI agent actions that were correctly authorized under your configured policies.

8. Termination

You may terminate your account at any time through the dashboard settings. Upon termination, your access to the Services will cease and your data will be deleted in accordance with our Privacy Policy and data retention schedule.

We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay applicable fees, or if required by law. We will provide reasonable notice when possible.

Sections that by their nature should survive termination will survive, including Intellectual Property, Limitation of Liability, and Governing Law.

9. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or the Services shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English in Wilmington, Delaware.

Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
